1. Agreement to Terms
By accessing or using the website at agency.cliplogicpro.com (the "Site") or engaging the services of ClipLogic ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Site or our services.
2. Services
ClipLogic provides web design, web development, search engine optimization (SEO), AI automation, custom software development, CRM development, and related digital services for businesses. The specific scope, deliverables, timeline, and pricing for any project will be defined in a separate written proposal or agreement between ClipLogic and the client.
3. Proposals and Agreements
All project proposals provided by ClipLogic are valid for 30 days from the date of issue unless otherwise specified. A project begins only when both parties have agreed to the scope in writing (including email acceptance) and any required deposit has been received.
4. Payment Terms
- Payment terms will be outlined in the project proposal or service agreement.
- Invoices are due upon receipt unless otherwise agreed in writing.
- For project-based work, we may require a deposit before work begins.
- For subscription-based services, recurring payments are due on the agreed billing date.
- Late payments may result in work being paused until the account is current.
5. Client Responsibilities
To ensure timely project delivery, you agree to:
- Provide all necessary content, assets, credentials, and approvals in a timely manner.
- Designate a single point of contact for project communication.
- Review and provide feedback on deliverables within agreed timelines.
- Ensure that any materials you provide do not infringe on third-party intellectual property rights.
Delays caused by late client feedback or missing materials may extend project timelines and are not the responsibility of ClipLogic.
6. Intellectual Property
Client Ownership: Upon full payment, you own the final deliverables created specifically for your project, including custom designs, content, and code, unless otherwise stated in the project agreement.
ClipLogic Ownership: We retain ownership of pre-existing tools, frameworks, templates, code libraries, and methodologies used in the creation of your deliverables. We grant you a non-exclusive, perpetual license to use these components as part of your delivered project.
Portfolio Rights: Unless you request otherwise in writing, we reserve the right to display completed work in our portfolio and reference the engagement in marketing materials.
7. Revisions and Change Requests
Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions or changes to the agreed scope (scope creep) may incur additional charges, which will be communicated and approved before any extra work begins.
8. SEO Disclaimer
Search engine optimization results depend on many factors outside our control, including search engine algorithm changes, competitor activity, and market conditions. We do not guarantee specific rankings, traffic levels, or revenue outcomes. We commit to applying industry best practices and providing transparent reporting on all SEO work performed.
9. Hosting and Third-Party Services
If we provide or recommend hosting, domain registration, or other third-party services, those services are subject to their own terms and conditions. We are not liable for downtime, data loss, or service interruptions caused by third-party providers.
10. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the engagement, including business strategies, credentials, client data, and technical specifications. This obligation survives the termination of any agreement.
11. Termination
Either party may terminate a project or ongoing service agreement with 30 days written notice. Upon termination:
- You are responsible for payment of all work completed up to the termination date.
- We will deliver all completed work and assets upon receipt of final payment.
- Deposits on work already completed are non-refundable.
12. Limitation of Liability
To the fullest extent permitted by law, ClipLogic shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services or this agreement. Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless ClipLogic, its employees, and contractors from any claims, damages, or expenses (including reasonable legal fees) arising from your use of our services, your breach of these terms, or materials you provide that infringe on third-party rights.
14. Warranty Disclaimer
Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding the merchantability, fitness for a particular purpose, or non-infringement of any deliverables or services, except as explicitly stated in a project agreement.
15. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these terms shall be resolved in the courts of Pinellas County, Florida.
16. Changes to These Terms
We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised terms.
